Acceptance of TermsBy accessing or using the No Swipe Club website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use our Service.We may update these Terms from time to time. If we make significant changes, we will notify you via email or through a notice on our website. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service2. Ownership, Business Structure, and Future RestructuringNo Swipe Club is owned and operated by Alexander Pierce Nixon as a sole proprietorship. The business is not registered in any jurisdiction. You acknowledge that the Service is provided solely by Alexander Pierce Nixon and that no partnership, joint venture, or other formal business association is created by these Terms. We reserve the right to restructure or transfer the business to a limited liability company (LLC) or any other business form at any time in the future. Any such change will not affect your rights under these Terms, and updated Terms reflecting the new business structure will be provided.3. Eligibility- You must be at least 18 years of age to use this Service.- You agree to provide accurate, current, and complete information during registration, including a recent selfie and, if requested, a government-issued ID to verify your identity.4. Description of ServiceNo Swipe Club is a dating and matchmaking platform currently serving users in New York City, with plans for potential expansion.- Matching and Date Assistance: We provide you with a match and assist in planning an initial date. However, it remains solely your responsibility to attend the date and finalize all arrangements.- Communication: By submitting your contact information (including your phone number and email address), you consent to receive text messages and emails from us regarding your account, match notifications, and Service updates.- Fees and Refunds: You will be charged a fee per match at rates that may vary. All fees are non-refundable. Refunds will not be issued if you decide not to meet your match or finalize your date plans after a match is created.5. 10DLC Compliance and SMS MessagingBy providing your phone number, you consent to receive SMS messages from No Swipe Club related to your account, match notifications, date planning assistance, and service updates.- Platform Messages: Messages from the No Swipe Club will be indicated by the prefix [NSC] in each message.- Opt-Out: You may opt out of SMS communications at any time by replying "STOP" to any message. Opting out of SMS communications may impact your ability to receive important service updates.- Help and Support: Replying "HELP" to any message will provide additional customer support options.- Message and Data Rates: Standard message and data rates may apply. Messaging frequency varies. While onboarding to the platform, you will receive approximately 1 message per day. After onboarding is completed and your profile is complete you will receive messages to notify you of potential matches as well as additional messages approximately once weekly to enhance your profile.- Third-Party Providers: SMS services may be delivered through third-party messaging providers in compliance with 10DLC regulations.- Carrier Liability: Please note that carriers are not responsible for delayed or undelivered messages.- Privacy: For details on how we handle your information, please review our privacy policy below.6. User Registration and Account Responsibility- You agree to provide accurate, current, and complete information during registration and to update such information as necessary.- You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.7. User Conduct and Community Standards- You agree to conduct yourself in a respectful, lawful, and responsible manner while using our Service. Prohibited behaviors include, but are not limited to, harassment, fraudulent activity, impersonation, and any conduct that jeopardizes the safety or well-being of other users.- If you encounter or witness behavior that violates these standards, you may report it by texting our service, emailing [email protected], or calling (201) 614-4565.- If you believe you or another user is in immediate danger or experiencing a threat to personal safety, you should contact law enforcement immediately. No Swipe Club does not have the ability to investigate, enforce laws, or intervene in potentially criminal situations. While we may take action to remove users from the platform based on reports, we do not have the authority to handle criminal matters. Users are encouraged to prioritize their safety and report any illegal or threatening behavior to the appropriate authorities.8. Payment Terms- By using the Service, you agree to pay the applicable fee per match as displayed on our Service.- All fees are subject to change at our sole discretion, and updated fee structures will be communicated via the Service.- Payment is non-refundable once a match is created, even if you decide not to meet your match or finalize your date plans.- If the No Swipe Club arranges a date for you and your match, and you fail to attend, you agree to be charged a $30 no-show fee to the payment method on file. This charge will not apply if you notify us at least 4 hours in advance. The no-show determination is based on a report from your match. By using this Service, you acknowledge and accept that No Swipe Club has the sole discretion to assess and apply no-show fees, and such charges are final and non-refundable.- By providing your payment information, you authorize us to charge your designated payment method for any fees incurred in connection with your use of the Service.9. Dispute Resolution and Governing Law- Any disputes arising from or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.- You agree to attempt to resolve any disputes informally by contacting us at [email protected] or by calling (201) 614-4565 prior to initiating any formal legal proceedings.- Arbitration: Except as otherwise provided by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved exclusively by binding arbitration on an individual basis. The arbitration will take place in New York City or another mutually agreed-upon location. If the parties cannot agree on an arbitrator, one will be appointed in accordance with applicable arbitration laws. By agreeing to arbitration, you waive any right to participate in a class action or class-wide arbitration.You may opt out of arbitration within 30 days of accepting these Terms by sending an email to [email protected] with the subject line ‘Arbitration Opt-Out.’ Your email must include your full name and the phone number associated with your account. Opting out does not affect your ability to use the Service, but it means that any future disputes will not be subject to arbitration.10. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.11. Risk Acknowledgment and Limitation of Liability- Risk Acknowledgment: Meeting someone new involves inherent risks. By using our Service, you acknowledge and accept that No Swipe Club is not responsible for any harm, loss, or injury that may occur from interactions or meetings between users.- Service Provided "AS IS": The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.- Limitation of Liability: To the fullest extent permitted by New York law, under no circumstances shall No Swipe Club, Alexander Pierce Nixon, or any affiliated parties be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of the Service. In particular, Alexander Pierce Nixon shall not be held personally liable for any claims, losses, or damages, even if advised of the possibility of such damages. Your sole remedy is to discontinue use of the Service.12. Intellectual Property RightsAll content, trademarks, and materials on the No Swipe Club website and application, including text, graphics, logos, and software, are owned by or licensed to No Swipe Club. You may not copy, modify, distribute, sell, or lease any part of our Service or included content unless expressly authorized in writing.13.
